By-Laws

ARTICLE I

RELATION OF THE CVW CHAPTER TO THE CORPORATE ORGANIZATION

All Officers of the CVW Chapter agree to be members in good standing of the American Association of Woodturners, Inc.

While it is understood that the parent organization provides advice and counsel, as requested, the nature and extent of CVW activities is left to the discretion of the CVW. Demonstrations are to be conducted solely at the discretion of CVW officers, and all safety and instruction are under their explicit direction and control.

Safety instructions will be posted on or around any lathe or other power tool used for demonstration, safety eye protection must be worn, and a full face shield used when needed. Use a dust mask and wear hearing protection. The lathe is a potentially dangerous instrument only to be used with CVW Chapter approved supervision.

ARTICLE II

PURPOSE

The Chapter's purposes, in addition to supporting the general purposes of the AAW, are:

  1. To provide a meeting place for local woodturners,
  2. To educate through exhibitions, demonstrations, lectures, and workshops,
  3. To share techniques and knowledge of the craft.
  4. To promote an appreciation of woodturning as an art in the community, and
  5. To promote safe turning practices.

ARTICLE III

MEMBERSHIP

Membership in the CVW is open to anyone interested in woodturning. Meetings and workshops are limited to paid members but non-members may attend for a fee. Dues and fees will be established by the Officers

ARTICLE IV

MEETINGS

The CVW normally meets the second Saturday of each month at 9:00 AM. Meeting times and location will be established by the President and may be changed at the President's discretion to accommodate available locations and presenters. The President will insure that the active members of CVW will be notified by email of any change in the time or location of the meetings

ARTICLE V

OFFICERS

  1. Number and Election. The Officers of the CVW shall be a President, a Vice President, a Secretary, a Treasurer, a Director and two Members at Large. These officers shall be elected annually by a majority vote of the CVW's paid-up members. Other Officers and Assistant Officers as deemed necessary may be appointed by the President.
  2. Terms of Office. Each Officer shall hold office for 1 year.
  3. Removal. Any Officer appointed by the President may be removed by the President. Any elected Officer may be removed when it is deemed that the best interests of the CVW would be served by such removal. This would be accomplished by a majority vote of the CVW members who are present at the time of the vote, so long as at least 50% of the paid-up members or their proxies are present.
  4. Vacancies. A vacancy in any Office because of death, resignation, removal, disqualification, or otherwise may be filled by a majority vote of the members at the next scheduled monthly meeting.
  5. President. The President shall be the principal executive officer of the CVW whose duties include: 1. Supervision and control of all the business and affairs of the CVW. 2. Preside over all meetings of the membership and officers.
  6. Vice President. The Vice President shall, in the absence or disability of the President, perform all of the duties of the President and, when so acting, shall have all of the powers of and be subject to the same restrictions as the President. The Vice President may be assigned duties by the President to assist in the operation or business of the CVW.
  7. Secretary. The Secretary shall keep a record of the proceedings of meetings of the officers and of the members where CVW business is discussed; maintain a membership book showing the name, address, and telephone number of each member; conduct the official correspondence of the CVW; and perform all duties incident to the office of Secretary and such other duties that may be assigned by the President.
  8. Treasurer. The Treasurer shall collect all membership fees and all other monies belonging to the CVW. The Treasurer will be responsible for keeping current and accurate records of all monies that flow through the CVW, and perform all duties incident to the office of Treasurer and such other duties that may be assigned by the President.
  9. Director. The Director will be the club's liaison for all matters pertaining to the club's status as a non-profit and such other duties that may be assigned by the President.
  10. Member At-Large. The Member/s At-Large shall perform such duties assigned by the President.

ARTICLE VI

AAW DISCLAIMERS: FISCAL AND LEGAL

The corporation, the American Association of Woodturners, Inc., specifically disassociates itself from any debts, obligations or encumbrances of the Local Chapter. The Corporate Board of Directors of AAW is not responsible for the debts and does not share in the profits of the Local Chapters. The Corporate Organization does not shoulder any legal liability for accidents that occur during events of any kind sponsored or not sponsored by a Local Chapter. The CVW specifically disassociates itself from any debts, obligations or encumbrances of the AAW. The Officers of the CVW are not responsible for the debts and does not share in the profits of the AAW. The CVW does not shoulder any legal liability for accidents that occur during events of any kind sponsored or not sponsored by the National Organization.

ARTICLE VII

ALTERING, AMENDING, OR REPEALING

These By-Laws may be altered, amended, or repealed and new By-Laws may be adopted by a vote of a simple majority of the qualified voting members of CVW then casting ballots. Copies of all modifications to these By-Laws must be filed with the national office of AAW.
